PHOENIX, AZ / ACCESS Newswire / August 24, 2026 / Cyber Enviro-Tech, Inc. ("CETI" or the "Company") today announced that it has entered into a definitive agreement with Air Power USA relating to the strategic combination of the companies and the expansion of Air Power USA's clean-energy technology platform throughout the United States.
The agreement follows the companies' previously announced exclusive discussions and is intended to accelerate the commercialization, manufacturing and deployment of Air Power USA's proprietary clean-air power generation technology.
Under the agreement, the parties intend to combine their respective operational, manufacturing and commercialization capabilities, with CETI supporting the development of a scalable U.S. manufacturing and distribution platform for Air Power USA technology.

Accelerating U.S. Commercialization
The companies expect the transaction to support:
Expansion of Air Power USA technology commercialization in the United States;
Continued development of CETI's Southern California manufacturing and operations capabilities;
Production and deployment of clean-energy systems for commercial and industrial applications;
Development of strategic customer and distribution relationships; and
Additional financing and capital resources to support the Company's growth initiatives.
The parties expect to continue working toward the closing of the transaction, subject to customary closing conditions, regulatory requirements and the execution of all remaining definitive documentation, as applicable.
CETI will provide additional details regarding the transaction, including its final structure and expected closing timeline, upon completion of the applicable corporate and regulatory processes.
