VANCOUVER, BC / ACCESS Newswire / November 21, 2025 / BEACN Wizardry & Magic Inc. (TSX-V:BECN) ("BEACN" or the "Company") is pleased to announce that it intends to proceed with a non-brokered private placement (the "Offering") of up to 6,086,957 common shares (the "Shares") of the Company at a price of C$0.115 per Share for gross proceeds to the Company of up to $700,000.
"BEACN has weathered a challenging year with volatility in global trade and increased US Tariffs yet continued to invest in strengthening its product roadmap and marketing strategy. This funding opportunity allows the company to move towards stable and profitable growth." noted Kevin Alexander, CEO of BEACN.
The Offering will be exempt from the formal valuation and minority shareholder approval requirements of 61-101 as neither the fair market value of the securities issued to related parties nor the consideration for such securities will exceed 25% of the Company's market capitalization. A material change report will be filed in connection with the participation of the directors and officers in the Offering potentially less than 21 days in advance of the closing of the Offering, which the Company deems reasonable in the circumstances so as to be able to avail itself of potential financing opportunities and to complete the Offering in an expeditious manner.
The proceeds from the Offering will be used to (i) accelerate the Company's B2B and B2C sales initiatives, (ii) support strategic inventory purchases of current and new products, (iii) continue research and development of new products and (iv) for general working capital.
The closing of the Offering is subject to receipt of all necessary regulatory approvals including the TSX Venture Exchange (the "TSXV"). The Company may close the Offering in more than one tranche.
