VANCOUVER, BC / ACCESS Newswire / August 13, 2026 / Algo Grande Copper Corp. ("Algo Grande" or the "Company") (TSXV:ALGR)(OTC PINK:ALGRF)(FRA:KM00) announces a non-brokered private placement (the "Offering") of up to 5,000,000 common shares in the capital of the Company (the "Shares") at a price of $0.60 per Share, for gross proceeds of up to $3,000,000, to fund continued exploration at the Adelita Project. Proceeds from the Offering will be used to expand the Company's ongoing exploration program on its 100%-owned Adelita Project in Sonora, Mexico, as well as for additional operating costs and general working capital requirements.
The Offering follows a series of recent technical updates at Adelita, including the Company's August 11, 2026 announcement of expanding copper mineralization in Holes 2 and 3 of the ongoing Phase II drill program at Cerro Grande, where two drill rigs are currently active. Initial core samples were delivered to ALS's Hermosillo laboratory on August 7, 2026, with assay results expected in the coming weeks (see news release dated August 11, 2026).
In connection with the Offering, the Company may pay certain eligible finders (each, a "Finder") a cash commission equal to 6% of the aggregate gross proceeds raised from those purchasers introduced by such Finder and issue that number of common share purchase warrants (each, a "Finder Warrant") equal to 6% of the number of Shares purchased by those purchasers introduced by such Finder. Each Finder Warrant will entitle the holder thereof to acquire a Share (each, a "Finder's Warrant Share") at an exercise price of $0.60 per Finder's Warrant Share for a period of 24 months from the date of issuance.
Securities issued in the Offering will be subject to a four-month hold period in accordance with applicable securities laws, which will expire four months and one day from the date of closing of the Offering. The Offering is not subject to a minimum aggregate number of subscriptions. The Offering is subject to certain conditions including, but not limited to, receipt of all necessary approvals, including approval of the TSX Venture Exchange.
