(the "Company") has fallen below 10% as a result of the Company's recently completed public offering of 10,222,200 common shares (the "Shares") and concurrent non-brokered private placement of 1,123,194 Shares (together, the "Financings").
Prior to the Financings, Ms. Cox owned, directly or indirectly, or exercised control or direction over 16,120,000 Shares (fully diluted), representing approximately 10.6% of the issued and outstanding Shares. Following the Financings, Ms. Cox has beneficial ownership and control of the same number of Shares which now represent 9.4% of the issued and outstanding Shares. As a result, Ms. Cox is no longer a 10% shareholder of the Company and will not be required to complete any further early warning filings unless she otherwise requalifies for such filings.
